Venga Gold Corporation

Venga Gold Corporation ("Venga Gold")  is a division of Venga Aerospace Systems Inc. ("Venga"), a Canadian public company that last traded on the TSX Venture Exchange (VAA) between 1999 and 2014.  Venga has carried on a varied range of operations including: development of a fully composite trainer/drone; the production and distribution of high resolution 3D graphic images for commercial and consumer markets; proposing a turn-key operation the the Canadian Government for the replacement of the aircraft used by the famed Canadian Armed Forces' aerobatic demonstration squadron: the Snowbirds and gold mining in Western Africa.  Venga has recently entered into a joint venture with a Liberian Indigenous community to carry out and conduct  mining operations to recover gold and diamonds in the Indigenous Community's lands and concessions (the "Concessions") located in Grand Cape Mount County, Liberia.  An mining / geological/ technical report  prepared by SRK Exploration Services Ltd and Engineering Report and a proof of concept mining operation carried out in January of 2022 have confirmed high levels of gold mineralization in the Concessions which are located in an area  recognized by the World Bank Organization as having high levels of  gold occurrences.  The raised  funding will have two uses: 1) the purchase of the mining and support equipment required  to immediately commercially exploit the mining opportunities available and offered by the Concessions and 2) to take all necessary steps and actions to  regularize Venga's corporate and regulatory status in order to secure the company's re-listing on the TSX Venture Exchange (the "Exchange") .  What does the investor receive?  1) an amount equal to eight times (8X) the investor's investment payable on a preferred basis from the planned gold mining operations and 2) upon Venga's re-listing, the option to purchase Venga common shares at the lowest price then permitted by the Exchange's rules to the maximum amount of the investor's  investment.
