I. EXECUTIVE SUMMARY
The Mind Body Soul Gym and Wellness Center LLC (referred to from hereon in as the "Company") is intended to be established as a Limited Liability Company at 5782 S Lowell Way, Littleton, Colorado 80123 with the expectation of rapid expansion in the gym industry.The Company solicits financial backing in order to be able to introduce its new service (described below).
Business Description
The Company shall be formed as a Limited Liability Company under Colorado state laws and headed by Amber Noland & Brandon Kovach.
Both founders have extensive backgrounds in health and fitness as evidenced by their many accomplishments and certifications. Both founders live very spiritual, active and healthy lifestyles and want to help spread their knowledge and services to others.
Amber has 14 years of experience as a nurse and is in the process of obtaining her credentials on a master level in integrative energy healing, which includes: Reiki, quantum shifting, life coaching, Shamanism, Tantra, and much more. She has trained most her life in the areas of MMA, yoga, soccer, track, cross country, rock climbing, calisthenics, competitive obstacle course racing, weightlifting, and cross-fit.
Brandon has experience in Marine Physical Training along with 13 years of training in the areas of weightlifting, calisthenics, martial arts, cardio, and is obtaining his credentials as a Master Personal Fitness Trainer.
Business Mission
Our mission is to help a diverse number of individuals reach their fitness and personal goals by providing accesses to our 24-hr safe, clean, and easily accessible facility, amenities, classes, personal training sessions, personal healing sessions, and many other products and services which will help contribute to the overall quality of life of our client.

Funding Request
The Company requests a total loan amount of $150,000.00, to be paid over the course of 10 years, and to be used for the following purposes:
Funds will be used for opening a new location, operating expenses, marketing, cameras/security system, a gym software program, and for purchasing gym equipment and other equipment. Depending on the location funds will be spent on remodeling as necessary: fresh paint, mirrors, floor mats, cost efficient lighting, and other general startup expenses.

Trends vary widely in the gym industry depending on the age group of the individual. The Company will advertise to individuals of many diversities and of a wide variety of ages and interests. The Company will offer competitive and superior 24-hr accessibility, location, membership options, equipment, products, services, group classes and personal sessions. The Company will provide unique personal sessions in the areas of: Personal Fitness Training, and a multitude of different healing modalities to choose from, by certified, trained professionals aimed to service a diverse age group of individuals depending on their personal goals. Personal Training sessions to include but are not limited to: Strength Training, Cardio, Calisthenics, HIIT, Endurance and Nutrition. Healing modalities include but are not limited to: Reiki, Energetic Cord Cutting, Tantra, Quantum Shifting, Chakra Clearing, and Guided Meditations.
The group classes that will be taught are currently very popular and target all age groups and diversities and are currently not offered in conjunction at our competitor's gyms. Group classes include but are not limited to: Breathwork and Yoga, Guided Meditations, Health and Nutrition, Lifestyle Changes, Cardio Kickboxing, Strength Training, and HITT. There are healing centers that specialize in healing only in the area; however, do not offer the facility's gym aspect, making The Mind Body Soul Gym and Wellness Center unique in its kind for bringing the gym aspect and healing aspects together to focus on the body and mind as a whole unit.
Research shows that consumers in this industry primarily focus on the following factors when making purchasing decisions:
· Access: We are safe and secure with 24-hr Gym and Wellness Center access.
· Location: The facility will be conveniently located admits the mountain communities with available parking.
· Age and condition of gym equipment: The facility will have state of the art new equipment in good working condition.
· Membership prices and commitment: The Company will offer convenient daily, monthly, and family memberships, competitive but fair pricing that does not lock our members into a contract, with no annual fees, or cancellation fees. The Company will offer package deals, appealing promotions, and loyalty perks to keep customers engaged.
· Overall cleanliness and flow of the space: We strive in providing a clean, safe, and a positive / uplifting space for our members to achieve their health and fitness goals.
Business Goals and Objectives
Short Term:
Projections determine the Company will break even around September 2023, seeing profit after that. Financial predictions suggest a minimum of 100% return on investment by the conclusion of the financing period.
In due time the Company plans to add a child center, not just to provide childcare for our clients, but to also provide job opportunities to the residents in the area. The Company may eventually extend its staffed hours and hire additional staff at that time.
Long Term:
Time frame to be determined; Both owners want to see the Company grow so it can expand within the grounds of 1 single location, even if it means moving to a larger commercial space.

The Company has completed a thorough analysis of its competitors' pricing. Keeping in mind our competition's pricing and the costs of customer acquisition, we have decided on the following pricing strategy:
The Company called its local competitors in the area to include 24-hr gyms and healing centers to come up with fair but competitive pricing to make sure the Company stays ahead of its local competition while successfully maintaining its appeal and accessibility to its clients. Which will in turn furnish loyal, happy, dedicated, and fulfilled customers.
Promotional Strategy
The Company will promote sales using the following methods:
Our marketing strategy is to use social media platforms/groups, partner with other local businesses, use word of mouth, and advertise through local mail with promotional flyers. The Company will have highly visible signage that can be seen from multiple directions. The clothing for sale in the gym will have the Company’s vibrant logo on them. The owners will have large decals made for their vehicles with the Company’s logo and number on it to promote while driving around.
Competition
The fitness industry is in high demand and always will be due to the emphasis we put on our health. The Company will be opened in the mountains which by default narrows down its competition. The Company will offer services, amenities, classes, and personal sessions that its competition currently does not, by taking the gym aspect and the wellness center aspect and combining the two together to offer a place that targets the mind, body and soul as an entire system so that it can function in alignment. This makes The Mind Body Soul Gym and Wellness Center unique for there is currently no other like it.
The primary competitors for the business are the following:
· Granite Fitness Center at Pine Junction, CO (24-hr Gym): Offers similar accessibility and semi-similar classes; The Company will provide a separate/cleaner space for classes with a more diverse / full weekly class schedule that implements healing and wellness; which Granite currently does not implement.
· Anytime Fitness in Conifer, CO (24-hr Gym): Offers similar accessibility and semi-similar classes; The MBS Gym and Wellness Center has less staff and strives on its personal approach with its members by building rapport with them; which would be more difficult for a franchise to accomplish with their many circulating staff members. The Company offers memberships that don’t lock in their members and does not charge an additional fee for a month / month membership; which Anytime Fitness currently does. The Company will also have a more diverse weekly class schedule that implements healing and wellness; which Anytime currently does not implement.
· Anytime Fitness in Evergreen, CO (24-hr Gym): (Same as other Anytime Fitness Location)
· Taspen's Yoga, Music, and Healing Center in Conifer, CO (Healing Center): Offers similar Healing Sessions but does not offer any gym aspect at all.
Services
First-rate service is intended to be the focus of the Company and a cornerstone of the brand's success. All clients will receive conscientious, one-on-one, timely service in all capacities, be they transactions, conflicts or complaints. This is expected to create a loyal brand following and return business. The Company is dedicated to its success and the wellbeing of it’s clientele. We believe that the Company has the following unique competitive advantages:
The Company will have a split structure. One side will be a unique 24-hr access gym combining a multitude of state-of-the-art gym equipment. The "Wellness" side is a more spiritual / quiet space where group classes are held, or where individuals can use the open floor space to workout individually when classes are not in session. The facility will also provide a separate quiet space (or 1 or more individual rooms) where the individual healing sessions will take place with a certified professional healing practitioner.
The company plans to rent space to professional and certified individual(s) qualified to teach the classes the Company plans to provide while its owners complete their educations in these areas; thus providing clientele with options and to ensure the Company maintains a full group class schedule while it builds itself, and so that the owners may focus on the success of the Company. The Company will be the first of its kind to implement the two different structures together to offer a complete healing experience to include the mind, body, and soul of the individual. The Company offers unique pricing packages and promotions that are appealing to the customer while still benefiting the Company and its success.
Amenities will include but are not limited to: General cardio equipment, strength training equipment, calisthenics equipment, TRX equipment, fitness pole, punching bag, Jacob's ladder machine, inversion table, sauna and so much more.
Our group classes will be unique to the talents of the gym's certified and professional teachers, coaches, and healers and are not currently offered anywhere else. We will have a full weekly class schedule in place with a variety of different fitness and wellness related classes one can choose to partake in alone or in conjunction with a gym membership. The gym will also have a monthly calendar with other events individuals can choose to partake in.
The gym will offer unique personal training sessions and unique personal healing sessions with certified professionals, competitively but fairly priced so that members can have better access to them. The gym will offer monthly raffles offering free training/healing sessions so that those who cannot afford one may still have a chance to have one.
Distribution Strategy
The Company will sell products in store only such as:
· Clothing (T-shirts and sweaters), stickers, and magnets with the Company’s vibrant logo on it.
· Beverages pertaining to health and/or fitness to be displayed at the entrance of the facility. Beverages to include but are not limited to: Water, electrolyte beverages, caffeinated beverages, and teas to be determined.
· Other third-party products to be determined in the areas of: Holistic / natural soaps, bath soaks, and/ or other similar products. (All products available for purchase in store only at this time. The Company plans to provide on-line purchase options soon.)
