I got into this business because I have witnessed firsthand the damage and devastation that has been caused by a shallow understanding of mental health and an over-confidence in narcotics and other medications. Specifically, I got into this business because there are people in my life who are struggling with things like chemical addictions, fibromyalgia, neuropathy, nerve pain, anxiety, depression, fatigue, and a whole host of other issues. The problem is, they've been led to believe that their only salvation from their pain and complications are to seek more brain altering chemicals and other treatments that have little-to-no long-term benefit. We know that the brain is 98% electrical and 2% chemical, why do we keep using chemicals?
At Polaris, we're not just here to help get patients away from those invasive treatments and medications, we're here to change the way people think about brain health, neurochemistry, and mental illness.

Overview
Polaris EEG and Diagnostics is a Texas Corporation based in Plano, Texas. It is setup in this format to facilitate expansion of our clinics and operations across the nation. This allows us to have management contracts with each clinic and reduces regulatory compliance. In addition, this setup allows for anyone to buy the company. Because of Federal law, without the MSO, physicians are the only ones that can purchase the company.
Polaris specializes in neurological diagnostics using qEEG and provides treatment via neurofeedback back therapy. We are also involved with Personal Injury attorneys where we can identify and prove Traumatic Brain Injury (TBI), which helps to establish case value with our technology. In addition, the device we use has been approved by the National Football League (NFL) Alumni Association.
We employ cutting-edge diagnostic technology to augment healthcare, impacting a broad spectrum of patients ranging from youth athletes to our aging population. Our technology helps physicians to detect, diagnose, and treat health conditions so that patients can receive the level of attention and care they deserve. The evaluation includes a neurological examination, recommended diabetic screening, and the establishment of baseline exam data that may facilitate ruling out various neurologic pathologies.
Neurocognitive Assessment
NeuralScan is a state-of-the-art hardware and software system that measures EEG activity of the brain. The technology allows us to measure the electrical activity (also known as evoked potentials) in the heart, the visual and auditory processing speeds, and even generates a subjective neuropsychological survey.
Cognitive impairment can occur at any age, and for a variety of reasons. Some causes include stress, dementia, head injury, sleep disorders, and pain (acute and chronic) to name a few. At the primary care level, neurological testing often lacks the sensitivity and specificity to make accurate neurologic patient assessments. Our device is a Class Il medical device that is US FDA 510(K) cleared for safety. The device acquires, displays, and stores a recording of the electrical activity in a patient's brain through electroencephalograph (EEG) and event-related potentials (ERP) obtained by placing two or more electrodes on the head to aid in diagnosis.
Neurofeedback and Brain-Mapping Analysis
Our real-time brain signal analysis platform has the potential to be broadly applied to reduce symptoms of conditions such as attention deficit hyperactivity disorder (ADHD), chronic back pain, and mild cognitive impairment in the elderly. Neurofeedback is a non-invasive therapy that, alone or in tandem with psychotropic drugs, holds enormous promise for patients and their families, physicians, and payers. Beyond ADHD, neurofeedback is developing similarly robust and reliable brain rehabilitation products to address chronic back pain, depression, and motor reeducation. This influence may also encourage neurophysiological resilience with the induction of brain flexibility, relaxation, and a more stable central nervous system. For example, if one's state of neuroanatomy and physiological health is over- stimulated or under-aroused, mental illnesses with various symptoms may manifest behaviorally, psychologically, emotionally, and/or physically. Disorders such as anxiety and depression may have a base in neurophysiology which consequently can be targeted for training. A brain with greater flexibility also has greater capacity to adapt to more challenging life situations.
Credentialed In-Network
We are currently credentialed in-network with Medicare, Tri-Care, Aetna, Ameri Group, Blue Cross Blue Shield, United Health Care, Humana, Well Care, and Well Med. Other payors will be considered and applied for in the future. While we are focused on growing our clinic through insurance and physician referrals, we will also offer cash pay options, as well as Care Credit Financing to all patients.
Marketing / Business Development
Mental Health care is the number one modality in the U.S. Since covid began. Neurological issues have jumped 82% as reported by several periodicals of neurology.
Currently, our largest audience are people with Anxiety, Depression, Chronic Pain, Sleep Deprivation and PTSD. In addition, we have a growing presence with other Physicians and clinics for referrals.
We have a strong presence from our website, Facebook, and Google, and have plans to implement an AI chatbot, as well as expand to other social media outlets like Instagram, LinkedIn, TikTok, and more!
In addition to our basic marketing structures and ad spend, we will be employing a business development team to focus on already identified verticals like Youth, High School, College, and Professional athletics, as well as Veterans Affairs, the Aging Population, and Personal Injury. These individuals will help with community outreach, partnerships, and event-based marketing to dig deeper into the communities that we’re currently operating in.

Projected Financial Performance
Based on current projects, each clinic will produce approximately $1,800,000 million per year in revenue with a 3% quarterly increase. Current proforma projections place EBITDA at 82-84%. The only speculative number is how many patients walk through the door. We know what the CPT codes pay from current EOB’s.
Expected Development & Exit Strategy
We are projecting to add 11 new clinics across the US over the next 18 months. Future destinations “in order”:

• Austin, TX • Scottsdale, AZ We are also looking at Colorado around the Vail area and also Montana. Each location requires a Nurse Practitioner or Physician’s Assistant, plus two medical assistants to operate the clinic. Space requirements are minimal, and services can be offered inside another partnered clinic if necessary.
Since Mental Health knows no boarders, there are future plans for international growth. These destinations will be determined once US operations have been established and are profitable.
We estimate a 3–5-year growth plan and operational expansion, with current plans to sell in year five, although it is highly likely that could be accomplished sooner.
