Overview
Atlas Realty Partners, Inc. (hereinafter “Atlas”), a Delaware established Corporation located at 600 Freeport Road New Kensington, PA 15068. The Goal of our Company is to bring value to our Real Estate Investment Trust (“REIT”). We will seek investment opportunities where intrinsic value is significantly lower than the sales price of the investment. Our goal is to develop the best available product, which suits the needs of our customers.
Concept (A)
To implement our business model, Atlas is seeking to build 1000 Market Rent (Class A) Apartments nationwide in ten (10) cities identified in our Business Plan. We will utilize Market Rent Construction financing, which permits 90% of the replacement value for funding needs. To offset Atlas’s equity requirements, we will utilize Regulation D 506(c) offerings; as well as, Tax Credits to cover the required equity. Additionally, in this endeavor we will seek value added opportunities; such as, below market rents and high vacancy assets then reposition the assets for value.
Concept (B)
Under our business model, Atlas will also function as a Hard-Money Commercial Real Estate Online Lending Platform. Atlas will provide debt and equity to experienced Real Estate Developers nationwide to bring their Multifamily projects to fruition. The concept is to borrow funds at a pre-determined interest rate and re-lend the same funds at higher rate; for example, we will pay 8% (To investors) and re-lend (To our borrowers) at 13% plus four (4) points, which will be in compliance with usury laws.

Qualifications for Regulation D 506(c)
Atlas asserts that its’ business model qualifies for Reg (D) 506(c) private placements because investors invited to participate; includes, wealthy individuals, banks, other financial institutions, mutual funds, insurance companies, and pension funds. Thus, only accredited investors may participate, which is represented in our business plan. To implement this structure, Atlas will create a General Partnership (“GP”) with the Investors as Limited Partners (“LP”) pursuant to our Private Placement Memorandum (“PPM”) and Subscription Agreement.
Initial Offering
Our initial offering will be in the amount of Ten Million Dollars ($10,000,000.00) to cover the equity requirements of two pending Apartment
development projects. The offering period anticipated is going to be for a three (3) year period.
Current Projects
- Atlanta Project (40 Unit Market Rent Apartments) Site Construction Financing Secured, Site Plan Approved, Zoning Approved, Construction, and
Pre-development initiated. Total Project Cost: $11.4 Million;
- Tallahassee Project (300 Unit Market and Rent and Subsidize Apartments) Letter of Intent (“LOI”) issued. Total Project Cost: $88 Million.
