KoinZ unites dynamic individuals and organizations to support disadvantaged communities more efficiently and effectively.   The primary advantage KoinZ holds over its market is its unique use of the metaverse to impact social change.  The metaverse market size is thin, allowing for KoinZ to shape its market.  Additionally, its closed source format allows for a high degree of privacy guard rails most metaverse solutions struggle to solve for.  The KoinZ solutions is primed to lead its market beyond its fiduciary duty to its shareholders.  KoinZ represents a virtual solution for its stakeholders, authored by its stakeholders.  The challenge KoinZ will face is the public’s limited exposure to the metaverse, and its use beyond gaming.

Cost Considerations:
For the successful operation of KoinZ, certain cost components need to be considered. These include software development and maintenance, content creation, licensing fees, partnership development, customer support, sales and marketing, administrative and operational expenses, and investment in research and development.

Business Model:
  1. B2B Subscription: Differentiated subscriptions based on size of company or institution, legal entity, agreement term and number of participating companies in the metaverse.
  2. B2C Membership: Students pay the equivalent of a local Big Mac Meal per month.
  3. Virtual Advertising: Dynamic and static advertising posted across metaverse campus either on buildings or virtual screens.
  4. Event Hosting: Organizations host events or trainings in the metaverse for a fraction of the cost they would pay for travel, hospitality, venue and catering expenses.
  5. Convertible Debt: KoinZ's early-stage loan converted into shares of KoinZ's common stock.
Private Initial Offering: 
Given the current breadth and scope of private equity capital markets, KoinZ PBLLC has chosen to engage its investors through a private initial offering, or PIO.  Following its Seed round, KoinZ Prep should be positioned to present, in part, to private equity capital markets.  Its entry point to the private equity capital markets is in the range of $1.0 million USD in EBITDA (on the very small side).

This would imply a total capital valuation (equity plus debt) of $4-$6 million or so. According to KoinZ 5-year pro forma, the company is slated to reach that point following year 3 of operations.  KoinZ PBLLC plans to prepare an operating agreement, private placement memorandum, subscription agreement, vesting schedule and begin the process of an accredited investor validation process in the 2-3 months leading up to consummating a financial agreement.

Legal Entity: PBLLC
A PBLLC is a for-profit limited liability entity intended to promote a specific social public benefit.  Unlike a regular LLC, a PBLLC has additional statutory requirements to be transparent, accountable and uphold its public benefit purpose while maintaining its fiduciary duties. 

This means a PBLLC needs to take steps like adopting an independent, third-party standard to assess its performance, disclosing conflicts of interest and providing its members with information on whether the PBLLC met its public benefit objectives.  While PBLLC statutes may vary in specificity, all of them address matters such as the PBLLC’s purpose, formation, third party assessments, annual benefit report requirements, transparency, and accountability.  Three reasons why KoinZ Prep decided on adopting a PBLLC structure are: purpose, transparency, accountability.

Traditional corporations are expected to use profit maximization as the primary lens in decision making.  Many now see this as a hurdle in creating long-term value for all stakeholders, including the shareholders themselves.  Benefit corporations reject this myopic model.  They are required to consider all stakeholders in their decisions.  This gives them the flexibility to create long term value for all stakeholders over the long term, and even through exit transactions such as IPOs and acquisitions.

Exit Strategy:

  • Legacy - Due to the nature of KoinZ’s legal entity, Public Benefit LLC, the company's mission is protected despite capital raises and leadership change.
  • Flexibility is of utmost importance when evaluating potential sale and liquidity options.
  • KoinZ will only explore its options for potential exit following the launch of a cloud-based metaverse market.
  Ownership --
  • KoinZ PBLLCowns no less than 51% of KoinZ Prep equity as is.
  • Majority ownership maintains the right to file an IPO if or when capital raises are required to pursue additional innovations.
  • Board of Directors of its parent company, KoinZ PBLLC, holds controlling authority to acquire or sell companies under its umbrella.
KoinZ’s value will be empirically captured upon the introduction of a purely cloud-based metaverse.  Social media will be intensified, and so too a need for access to tangible support systems that will improve humanity.  KoinZ is positioned to execute on the latter.   In valuing its position, KoinZ will consider the ebb and flow of the metaverse market - evaluating the company's supply and demand once its market has stabilized.

Jahi Rohrer is an educator of 18-years with experience teaching in the South Bronx, reviving a private school in the British West Indies, leading a top performing school in Washington D.C., designing a successful school turnaround effort in Nashville TN and directing a nonprofit college-preparation program in Denver CO.   Mr. Rohrer is a graduate of Middlebury College, PACE University, Columbia University and the University of Denver.   Since his graduation from University of Denver’s Executive MBA program, Mr. Rohrer founded a social impact organization dedicated to interrupting wealth gaps in regions across the world.   The company, KoinZ, enlists quality organizations to educate, train and provide quality opportunities for students – in real time, with real people, in a virtual reality metaverse.
