By utilizing SentientDB's "Scout" and "Blueprint" systems, enterprise servers are discovered, compatibility mapped for mobility to optimize database performance.

I have already raised and banked $555,000 of investment for CANS. We have another $2.5 Million investment in advanced discussions with a Corporate investment Capital Group. The remaining Bridge investment will be on a first come first serve at a minimum of $250,000 increments. 

Please note we will close the Bridge round once we reach a $3M investment into CANS. We are willing to oversubscribe by another $500K if need be for current commitments.

We are still planning to do a three-tiered Convertible Debt Equity raise of $7 Million on or before July 31st, 2021. We have enclosed the Convertible Debt Equity Note for your review and consideration.


CANS has completed the development and testing of its initial product SentientDB and has started the initial development of our second product SentientAPP. SentientDB is ready for commercial deployment in the market. A new release is under development to further enhance deployment through improved ease of remote installation and configuration through automation. These features will allow remote installation due to covid restrictions or other reasons we cannot be on site. In addition, CANS has an excellent enterprise direct sales pipeline and we have established our initial indirect sales strategy with executed agreements with three regional resellers/distributors for our products including Africa, Middle East, and India. SentientDB is ready to Go-To-Market.

Cognitive Application Network Solutions (CANS) is requesting $3,000,000 in capital to support:
 
Completion of remote install/configuration with automation release to access and support all enterprise environments where onsite deployments are not feasible (Covid). Enhancing sales team coverage of both direct and indirect channels. Scaling and training product development and service teams to pilot and implement planned enterprise deployments of SentientDB during the next 12 months. These projects include:

NASA / JPL through our Strategic Partner – Cyber Forza - Postponed till the end of Q3 2021 due to COVID-19. $20M has already been allocated for our project to get started by this September. 

Below you will see the information that was put together by our CEO - Jimmy Jobe for you about our future with CANS. We can send you the Kompsys - Executed LOI between Cyber Forza and CANS for this project if you duly execute on the enclosed NCNDA.  

Note: The LOI will be used in the next 30 - 45 days to define the definitive contract for this project and as part of those discussions we may need to refine the timeframe and implementation licenses/timeframes based on any changes in their environment during the past year that the contract has been delayed due to the Covid lockdown and pandemic.

SentientDB Quote for subscription License and Implementation Services:

Subscription License Assumptions: ($45 per database instance per month)

Monthly pricing assuming full implementation of SentientDB for monitoring and control management for 26,714 databases at JPL: ($45 Per month per database instance X 26,714 databases = $1,202,130)

Annual subscription license pricing: $14,425,560

Professional Services Pricing Assumptions for Year 1 and Year 2 including:

- implementation/configuration assessment across all networks where SentientDB will be implemented,
- product implementation planning,
 - training of JPL IT staff,
- installation and configuration of SentientDB,
- defined use case testing for each implementation phase
  and product support services (tickets, enhancement requests, upgrades, etc.)
  and roll-out support for 26,714 databases at JPL.

The implementation and roll-out assumption is that CANS SentientDB would be installed/implemented for 50% of JPL’s databases the first year and 50% the second year. The implementation services for each of the two years are $3,606,390 per year.

Total pricing by year for Professional Services and monthly subscription SentientDB licenses for first 5 years:

 Year 1: $10,819,170 ($7,212,780 subscription/license + $3,606,390 Professional Services)

Assumption: 50% implementation of SentientDB management control and optimization for 13,357 databases

 Year 2: $18,031,950 ($7,212,780 subscription/license + $3,606,390 Professional Services + $7,212,780 for continuation of year 1 implemented subscription Licenses)

Assumption: Remaining 50% implementation of SentientDB management control and optimization for 13,357 databases

Note: Since subscription license implementation will occur in defined phases during both years (all licenses for a given year will not be implemented; day 1 of that year); an implementation report with implemented subscription count will be submitted each month to reconcile actual implementation to planned implementation until full implementation for that year is achieved. Monthly Subscription Credit will be given to JPL in years 3-5 for any differences in implementation licenses for any month in the implementation years 1 and 2. At this time there is not enough information about implementation “uptake” to establish a credit schedule for this occurrence.

A total contract value of $72,127,800 is forecasted for the first 5 years of the contract. Recurring annual subscription revenue of $14,425,560 is forecasted for each subsequent year.
